Director Resignation

Our 501(c)5 Breed Association membership elects regional Board Directors annually for one year service from October through the following October. Recently, our membership elected President recommended that a Director resign to be considered a viable bidder for a BOD awarded contract. A written resignation was submitted but no Presidential, Executive Committee or BOD action was taken, recorded or published in the minutes. It appears this same past Director has now been excluded from the bidding and he seeks to reclaim his Director seat, stating that the membership elected him, so to remove him, the BOD must accept, record and publish his resignation. Please confirm or refute with references.
